1. Acceptance of Terms

By accessing or using the EasyFlow360 platform at app.easyflow360.com or the EasyFlow360 mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

EasyFlow360 is a cloud-based business management platform for companies and the professionals who work with them. The Service includes tools for bookkeeping, document management, invoicing and payments, messaging, scheduling, and related business workflows.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information, to keep your credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

4. Acceptable Use

When using the Service, you agree not to:

• Violate any applicable law or regulation
• Upload malicious code or attempt to compromise the Service's security
• Access data belonging to other users without authorization
• Use the Service to send spam or unsolicited communications
• Resell, sublicense, or misappropriate the Service or its content
• Interfere with or disrupt the integrity or performance of the Service

5. Data Ownership & Responsibility

You retain full ownership of all data, documents, and content you upload to the Service ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide the Service. You are responsible for the accuracy and legality of Your Data and for maintaining any required consents from the businesses and individuals whose information you process through the Service.

6. Bank Account Connections

The Service lets you connect bank and credit-card accounts through our data provider, Stripe Financial Connections, to import balances and transactions into your books. By connecting an account you represent that you are authorized to access it and you authorize us to retrieve its data on your behalf on an ongoing basis until you disconnect it.

Financial data is provided by third parties and institutions; we do not guarantee its completeness or accuracy, and you remain responsible for reviewing your books. You can disconnect an account at any time from within the Service.

7. Payment Terms

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees. Fees are billed in advance, are non-refundable except where required by law, and may change with reasonable prior notice. Payment processing is provided by Stripe.

8. Invoicing & Client Payments

Companies may use the Service to generate and send invoices and collect payments from the businesses and individuals they serve. We act solely as a software provider facilitating these transactions; the underlying commercial relationship is between the invoicing company and its customer. Processing fees may apply and are disclosed before payment.

9. Confidentiality

We understand that our users handle sensitive financial information. We maintain the confidentiality of Your Data, access it only as necessary to provide and support the Service, and never sell it to third parties.

10. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable.

11. Limitation of Liability

To the maximum extent permitted by law, EasyFlow360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our aggregate liability shall not exceed the amounts you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service provides software tools and does not constitute accounting, tax, legal, or financial advice.

13. Indemnification

You agree to indemnify and hold harmless EasyFlow360, its officers, directors, employees, and agents from any claims, damages, or expenses arising from Your Data, your use of the Service, or your violation of these Terms.

14. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access for material breach of these Terms. Sections that by their nature should survive termination (including data ownership, limitation of liability, and indemnification) survive.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which EasyFlow360's operating entity is organized, without regard to conflict-of-law principles.
